Vach Cittoni’s restriction of direct purchases for suspected commercial resale or diversion governs transactions directly with Vach Cittoni. It does not purport to eliminate any independent resale or exhaustion right that mandatory law may provide following a lawful sale.

Fragrance perception is inherently subjective and may be affected by factors including:

Nothing in this section limits mandatory rights relating to product description, conformity, misleading representations, or consumer protection.

5. Products, Pricing, and Availability

Vach Cittoni develops and sells fragrance products that may be produced in limited quantities.

Product availability may depend on:

  • Manufacturing schedules.
  • Ingredient availability.
  • Packaging availability.
  • Regulatory requirements.
  • Inventory.
  • Quality-control requirements.

To the fullest extent permitted by law, Vach Cittoni may:

  • Modify or improve formulations.
  • Update packaging or presentation.
  • Change non-material specifications.
  • Limit purchase quantities.
  • Discontinue products.
  • Introduce replacement products.
  • Correct pricing, currency, inventory, promotional, or technical errors.
  • Restrict sales where lawful fulfillment is not reasonably possible.

Prices may change without prior notice for future transactions.

If an order contains a material pricing or technical error, Vach Cittoni may correct the error and, where legally required, give the customer an opportunity to accept the corrected transaction or cancel the order.

Fragrances may contain natural and synthetic materials. Minor non-material variations between production batches may occur.

Such variation does not by itself establish that a product is defective, provided the product remains authentic, conforming, safe, and of the quality required by applicable law.

6. Orders, Billing, and Fraud Prevention

Customers must provide accurate billing, payment, shipping, and contact information.

Submission of an order does not necessarily constitute final acceptance by Vach Cittoni.

Unless applicable law establishes contract formation earlier, an order is accepted when Vach Cittoni ships the product or otherwise expressly confirms acceptance.

Vach Cittoni may review orders for risk indicators including:

  • Suspected fraud.
  • Payment authorization concerns.
  • Billing and shipping discrepancies.
  • Multiple failed payment attempts.
  • Unusual purchasing patterns.
  • Excessive quantities.
  • High-risk transaction indicators.
  • Prior fraudulent or abusive activity.

We may request additional verification before accepting or fulfilling an order.

Failure to provide reasonably requested verification may result in cancellation.

Where payment has been collected and Vach Cittoni lawfully cancels an order, amounts legally due will be returned to the original payment method unless another method is expressly agreed to.

Fraudulent purchases, false claims, unauthorized payment activity, return fraud, chargeback abuse, or similar conduct may result in lawful protective action, including:

  • Order cancellation.
  • Account restriction.
  • Future-order refusal.
  • Preservation of evidence.
  • Reporting to payment providers, financial institutions, carriers, law enforcement, or other appropriate parties where permitted by law.

7. Shipping and Order Fulfillment

Shipping, delivery, customs, tracking, optional Shipping Protection, and related matters are governed by the Shipping Policy, which forms part of these Terms.

Orders are normally processed within the timeframe stated in the Shipping Policy.

Processing and delivery estimates are not guarantees unless expressly stated otherwise or applicable law provides otherwise.

Customers are responsible for supplying complete and accurate shipping information.

International duties, VAT, taxes, customs charges, and similar amounts will be handled as disclosed during checkout and under the Shipping Policy.

Where Vach Cittoni or a carrier offered by Vach Cittoni arranges delivery, risk of loss or damage transfers in accordance with applicable law.

Nothing in these Terms transfers consumer risk earlier than mandatory law permits.

8. Cancellations and Pre-Orders

Order cancellation requests, deferred-fulfillment purchases, and pre-orders are governed by the Cancellations & Pre-Orders Policy.

Customers should submit cancellation requests as soon as possible.

Once an order has entered fulfillment, it may no longer be operationally possible to stop shipment.

A request to cancel an order does not guarantee cancellation unless applicable law creates a cancellation right.

Estimated pre-order dates are subject to the conditions stated in the Cancellations & Pre-Orders Policy.

Nothing in Vach Cittoni’s cancellation process limits a statutory cancellation right that applicable law does not permit us to restrict.

9. Returns, Refunds, and EU Withdrawal

Returns, refunds, sealed-product requirements, inspection procedures, and European Union statutory withdrawal rights are governed by the Return Policy & EU Withdrawal.

Vach Cittoni’s voluntary return requirements apply as described in that policy.

Where mandatory consumer law creates a different or additional right, the mandatory legal requirement prevails only to the extent legally required.

Refund timing, return costs, outbound delivery reimbursement, inspection, diminished value, and lawful withholding of reimbursement are governed by the Return Policy & EU Withdrawal and applicable law.

10. Sealed Fragrance Products

Vach Cittoni fragrances are supplied in protective packaging that includes factory shrink wrap and a tamper-evident security seal.

These protective measures are intended to preserve:

  • Product integrity.
  • Authenticity.
  • Hygiene.
  • Safety.
  • Quality.
  • Tamper protection.

For purposes of Vach Cittoni’s voluntary return rules, a product may be considered opened where:

  • Factory shrink wrap has been removed, cut, torn, or materially damaged.
  • The tamper-evident security seal has been broken, removed, altered, or damaged.
  • Retail packaging has been opened.
  • The fragrance bottle has been removed from its sealed retail packaging.
  • The fragrance has been sprayed, tested, sampled, used, altered, refilled, substituted, contaminated, or tampered with.

Opened fragrance products are not eligible for ordinary change-of-mind return under Vach Cittoni’s standard return policy.

For European Union consumers, removal or breaking of the factory sealing may also affect a statutory right of withdrawal where the legal requirements for the applicable sealed-goods health-protection or hygiene exception are satisfied.

Vach Cittoni does not claim that this statutory exception applies where its legal requirements are not met.

11. Product Use, Safety, and Fragrance Sensitivity

Vach Cittoni fragrances are intended for external use only.

Customers should review product labels, ingredient disclosures, warnings, and instructions before use.

Individual reactions and sensitivities may vary.

If irritation, allergic reaction, discomfort, or another unexpected reaction occurs, discontinue use and seek appropriate medical advice where necessary.

Vach Cittoni does not represent that every fragrance will be suitable for every individual.

Products should be:

  • Used as intended.
  • Stored appropriately.
  • Protected from excessive heat, humidity, and direct sunlight.
  • Kept out of reach of children and pets.

To the fullest extent permitted by law, Vach Cittoni is not responsible for injury, loss, or damage caused by misuse, unauthorized modification, improper storage, use contrary to instructions, or other conduct outside Vach Cittoni’s reasonable control.

Nothing in this section excludes product-safety obligations, statutory warranties, or liability that applicable law does not permit us to exclude.

12. Intellectual Property

All legally protectable content appearing on VachCittoni.com is owned by, licensed to, or lawfully used by Vach Cittoni.

This may include:

  • CEO.
  • Eleven.
  • Wizdem.
  • Other product names.
  • Logos.
  • Trademarks.
  • Trade dress.
  • Packaging designs.
  • Product photography.
  • Videos.
  • Graphics.
  • Artwork.
  • Written content.
  • Educational content.
  • Website design.
  • Software and source code.
  • Advertising and marketing materials.

No ownership right or license is granted merely by accessing the website.

Except as permitted by applicable law or with prior written authorization, users may not:

We cannot verify or guarantee the authenticity, handling, storage, condition, quality, safety, or chain of custody of products obtained from unauthorized sources.

Unauthorized sources may include:

  • Auction websites.
  • Unverified social-media sellers.
  • Unauthorized retailers.
  • Other unapproved third parties.

Products obtained from unauthorized sources may not qualify for voluntary:

  • Authenticity verification.
  • Customer-service programs.
  • Replacements.
  • Returns.
  • Refunds.
  • Commercial warranties offered directly by Vach Cittoni.

Nothing in this section eliminates a mandatory statutory right that applicable law independently provides.

Where applicable law requires additional consent for a particular use, that requirement will be respected.

Vach Cittoni is not obligated to:

  • Retain submitted content indefinitely.

  • Respond to the submission.

We may moderate, decline, or remove content where lawful.

18. Limitation of Liability

19. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Vach Cittoni and its owners, employees, contractors, affiliates, licensors, suppliers, service providers, successors, and assigns from claims, liabilities, losses, damages, judgments, costs, and reasonable legal expenses arising from:

  • Your unlawful misuse of VachCittoni.com.
  • Your violation of applicable law.
  • Your infringement of another person’s rights.
  • Your fraudulent or intentionally wrongful conduct.
  • Materially false information knowingly supplied by you.

This provision does not require a consumer to indemnify Vach Cittoni for Vach Cittoni’s own unlawful conduct or for liability that applicable law does not permit to be shifted to the consumer.

20. Privacy

Collection, use, disclosure, retention, transfer, and protection of personal information are governed by the Privacy Policy.

Nothing in these Terms reduces a privacy right that applicable law provides.

21. Governing Law

These Terms & Conditions are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles, except where mandatory law provides otherwise.

Where a consumer is entitled to mandatory protections under the laws of another jurisdiction, those protections remain applicable to the extent they cannot legally be excluded or displaced by contract.

22. Dispute Resolution

Vach Cittoni encourages customers to contact us promptly regarding a dispute so the matter can be investigated and, where possible, resolved directly.

Before commencing non-urgent proceedings, the parties are encouraged to make reasonable good-faith efforts to resolve the matter through direct communication.

Nothing in this section:

  • Prevents a party from seeking urgent judicial or equitable relief.
  • Prevents a consumer from contacting a regulator, consumer-protection authority, privacy authority, or other competent agency.
  • Requires a consumer to waive a statutory court right.
  • Requires arbitration where applicable law prohibits compulsory arbitration.
  • Limits a mandatory legal remedy.

23. Force Majeure

To the fullest extent permitted by law, Vach Cittoni will not be liable for delay or failure to perform caused by circumstances beyond our reasonable control.

Such circumstances may include:

  • Natural disasters.
  • Fire.
  • Flood.
  • Severe weather.
  • Epidemics or public-health emergencies.
  • Labour disputes.
  • Customs delays.
  • Government action.
  • Import or export restrictions.
  • Transportation interruption.
  • Carrier failure.
  • Supply-chain disruption.
  • Power outages.
  • Telecommunications outages.
  • Cybersecurity incidents.
  • War.
  • Terrorism.
  • Civil unrest.
  • Similar events beyond our reasonable control.

Where such circumstances occur, Vach Cittoni may reasonably suspend, delay, modify, or cancel affected performance.

This section does not eliminate a mandatory cancellation, refund, delivery, or other consumer right arising under applicable law.

24. Class or Representative Proceedings

Where permitted by applicable law, a claim arising from these Terms or a transaction with Vach Cittoni should be brought in the individual capacity of the claimant.

To the extent legally enforceable, claims may not be brought as a class, representative, consolidated, or similar collective proceeding.

This provision does not apply where such a waiver is prohibited, invalid, or unenforceable under applicable law.

25. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed to the minimum extent necessary.

The remaining provisions will continue in effect.

26. Entire Agreement

These Terms & Conditions together with the applicable:

  • Shipping Policy.
  • Return Policy & EU Withdrawal.
  • Cancellations & Pre-Orders Policy.
  • Privacy Policy.
  • Shipping Protection Terms, where applicable.
  • Product-specific terms or notices expressly incorporated into a transaction.

constitute the agreement between Vach Cittoni and the customer regarding the applicable website use or transaction, subject to mandatory law.

A failure by Vach Cittoni to enforce a provision on one occasion does not constitute a continuing waiver of that provision.

27. Assignment

To the extent permitted by law, Vach Cittoni may transfer or assign its rights and obligations in connection with a legitimate:

  • Sale of the business.
  • Reorganization.
  • Restructuring.
  • Financing.
  • Merger.
  • Transfer of all or part of the business or its assets.

Vach Cittoni may update these Terms & Conditions from time to time.

The current version will be made available on VachCittoni.com with its effective date.

Unless applicable law or an express agreement provides otherwise, revisions apply prospectively to future website use and transactions after the revised Terms take effect.

Changes will not retroactively remove a right or materially alter a completed transaction where applicable law does not permit that result.

Where additional notice or consent is legally required for a material change, Vach Cittoni will provide it.

29. Mandatory Rights

Nothing in these Terms & Conditions excludes, limits, restricts, waives, or modifies any statutory warranty, consumer guarantee, remedy, privacy right, product-safety obligation, or other protection that applicable law does not permit Vach Cittoni to exclude, limit, restrict, waive, or modify.

Where any provision conflicts with a mandatory legal requirement, the mandatory requirement prevails only to the extent of the conflict, and the remaining Terms continue in effect.
